Terms of Use

Please read these Terms of Service (hereinafter referred to as the "Terms") carefully before using the WellyPal application or related services (hereinafter referred to as the "Service"). You must comply with all policy regulations provided to you within the Service.

WellyPal is a company headquartered in Hong Kong, China. Your access to and use of this Service are subject to and governed by these Terms. These Terms apply to all visitors, users, and other relevant persons who access or use the Service.

By accessing or using the Service, you agree to abide by these Terms and assume all relevant legal responsibilities. If you do not agree to all or part of these Terms, you will be unable to access or use the Service.

We may modify these Terms from time to time. If the modifications affect your rights, we will notify you in advance via email or service notification, or provide a new version of the Terms for your acceptance. Your continued use of the Service after the effective date of the new Terms constitutes your acceptance of the modified Terms.

We reserve the right to make minor changes to the Terms (such as technical corrections or descriptions of new features) without prior notice, provided they do not materially affect your rights.

Certain features of this Service are provided on a subscription basis ("Subscription Services"). You will pay relevant fees on a prepaid basis according to the selected billing cycle (such as monthly or annually), based on the subscription plan you choose at the time of purchase.

Subscription Services require a valid payment method (such as a credit card). You must provide accurate and complete billing information, including name, address, state, zip code, contact phone number, and valid payment information. By submitting such information, you authorize us to charge the corresponding fees to your payment account according to the applicable billing cycle. Relevant fees may not include applicable taxes, which will be displayed at the time of settlement.

If an automatic deduction fails, we may attempt to recharge within a reasonable range; if still unsuccessful, we reserve the right to suspend or terminate your access to the relevant Subscription Services until the fee payment is completed.

2.1 Renewal and Cancellation

Your subscription will automatically renew at the end of each billing cycle unless you cancel the subscription before the end of the current subscription period or we terminate the service. To avoid additional charges, you can cancel automatic renewal through the account settings of the corresponding platform. If you subscribe through the Apple App Store, you can select "Manage App Subscriptions" in your Apple account settings to cancel the corresponding subscription. Please note that deleting the application does not automatically cancel the subscription; you must complete the cancellation before deleting the application. 2.2 Refunds

If you purchase a subscription through the Apple App Store, relevant refunds will be subject to the refund policy of that platform, and we cannot directly process such refund requests. Please contact the customer service of the corresponding platform to apply for a refund. For subscription services purchased through other channels, refund applications will be processed based on applicable laws and the company's refund policy.

2.3 Price Changes

We may adjust subscription plans or fees from time to time and will notify you within a reasonable range in advance. Price changes will take effect in the next subscription billing cycle and will not affect the current subscription cycle you have already paid for. If you continue to use the Subscription Service after the price change takes effect, it indicates your acceptance of the adjusted price; if you do not agree, you can cancel the subscription at least 24 hours before the end of the current subscription period to avoid new charges.

The Privacy Policy is an integral part of these Terms. If there is any inconsistency between these Terms and the Privacy Policy, these Terms shall prevail.

This Service is restricted to users with full capacity for civil conduct. If you are under 13 years of age, you must obtain the consent of a parent or legal guardian to use this Service.

Using this Service may require you to create an account and provide certain personal information, including but not limited to your name, gender, date of birth, and email address. You agree to provide WellyPal with accurate and complete information and to update it promptly after any changes. Otherwise, the Service may not function properly, and we may be unable to send you important notices. You are responsible for all activities associated with your account. If you violate these Terms, WellyPal has the right to suspend or terminate your account, with or without prior notice.

We also provide you with an artificial intelligence chatbot named "AI Coach". This chatbot is powered by Google’s Gemini-related services. Relevant third-party service providers may have the right to access or review communication content within the chatbot to a reasonably necessary extent. We reserve the right to authorize other providers to conduct similar reviews when necessary, and such circumstances will be updated in the Privacy Policy in a timely manner.

The information and suggestions provided by AI Coach are for general reference only and do not constitute medical, nutritional, or other professional advice. Furthermore, like most chatbots, it may occasionally experience bias and hallucinations. Please read this section carefully for more information regarding prohibited uses.

In chat dialogues, AI Coach provides nutritional and health-related support. AI Coach can also proactively send daily health greetings to users, solve problems users may encounter, and provide suggestions for follow-up actions.

General Instructions: Although we are committed to improving and enhancing the reliability of AI Coach, the responses it provides may sometimes contain biased, incorrect, harmful, or misleading content. You are responsible for independently verifying the accuracy and applicability of any suggestions and ideas provided by the chatbot before adopting them. Furthermore, we do not recommend that you share any confidential information with AI Coach. While we strive to improve the performance of the chatbot, end-users still need to maintain caution and critical thinking when using AI Coach.

Prohibited Uses: Please do not use AI Coach to generate political, pornographic, harassing, or deceptive content, nor spam or malware. Additionally, do not create content that promotes violence, self-harm, human trafficking, or violates these Terms in any other way. We strongly recommend that you do not share any confidential information with AI Coach. Our chatbot is designed to provide support and guidance for your health journey; we ask that you use this feature responsibly and comply with these Terms.

AI-Generated Suggestions: AI Coach uses machine learning systems to analyze information you provide (e.g., profile details, responses, goals), your in-app activities (e.g., logs, interactions), and other feedback to generate suggestions and operational guidance. AI Coach employs general machine learning models to provide specific functions; therefore, AI Coach can only infer statistical correlations (rather than clinical causality). Output results are probabilistic, may lack contextual information, and may contain errors or biases. Such AI-generated suggestions are for general reference only and should not be used as a basis for health-related decisions.

We are committed to providing support via email, live chat, and self-service tools. All support services are performed in accordance with current support policies.

We may from time to time update or upgrade the Service (hereinafter referred to as "Updates"). Unless otherwise stated, all Updates are subject to these Terms. In some cases, you may need to install Updates to continue using the Service. We reserve the right to make such changes at our sole discretion and do not guarantee that the Update content will meet your expectations.

We reserve the right to modify, suspend, limit, or take down all or part of the Service's features at any time. Certain features may be unavailable due to regional restrictions, device conditions, operating system versions, or changes in third-party services; we make no commitment to the continuous availability of any feature.

The Service allows users to submit text, voice, images, and other information. Through algorithmic processing and artificial intelligence technology, the system assists users in recording, organizing, evaluating, and visualizing daily health data, aiming to improve awareness and management capabilities regarding personal lifestyle habits.

WellyPal may provide services including but not limited to the following:

• ●Recording and managing health-related data, such as diet, water intake, exercise volume, weight, and body metrics;
• ●Tracking health goal indicators, including calorie intake, nutritional balance, hydration, and weight goals;
• ●Generating insight analysis, reminders, and reports based on user input;
• ●Providing personalized health management suggestions, trend analysis, and data visualization features.

WellyPal is intended only for personal health management, lifestyle tracking, and general health reference. This product does not provide medical advice, diagnosis, treatment, prescriptions, exercise plans, or any form of professional consultation. WellyPal is not a medical service provider and does not provide medical services, emergency medical services, or clinical decision support. If any medical condition exists or professional advice is needed, please be sure to consult a qualified physician or other licensed professional.

The Service allows you to post, link, store, share, or otherwise provide information, text, graphics, or other materials (collectively, "Content"). You assume full responsibility for the Content you post, including its legality, reliability, and appropriateness.

By posting Content, you grant us a worldwide, non-exclusive license to use, modify, display, reproduce, and distribute such content within the Service.

You hereby represent and warrant that:

the Content belongs to you (you own it), or you have the right to use the Content and grant us the corresponding rights and licenses under these Terms;

(ii) your act of posting Content through the Service will not infringe upon the privacy rights, publicity rights, copyrights, contractual rights, or any other legal rights of any individual;

(iii) you shall not abuse or interfere with the Service, shall not perform reverse engineering, shall not bypass security mechanisms, shall not use the Service for illegal purposes, and shall not conduct automated scraping, bulk calling, or system attacks.

We reserve all rights to block or delete the following content:

abusive, defamatory, or obscene content;

fraudulent, deceptive, or misleading content;

content that infringes upon the copyrights, trademarks, or other intellectual property rights of others;

content we deem offensive or non-compliant, with the final right of determination resting with us.

You acknowledge that by providing you with the functionality to view and distribute user-generated content on the Service, we act only as a passive channel for such distribution and assume no obligation or responsibility for any content or activity on the Service.

Certain services require account registration to use. You must provide accurate, complete, and up-to-date information. Failure to comply with this requirement may result in account termination. You are responsible for maintaining the confidentiality of your account credentials and for all actions taken under your account. Usernames must not contain unauthorized names, trademarks, or offensive content.

Logging out is not equivalent to account cancellation. Account cancellation must be completed through the application or by contacting customer support.

The Service and all content (including but not limited to text, images, graphics, and code) are owned by us and are protected by copyright laws, trademark laws, database rights, and other intellectual property laws. You may only display, copy, download, or print portions of the content for non-commercial purposes within different areas of the Service. Any other use is strictly prohibited and may violate copyright laws, trademark laws, and other laws and regulations. These Terms do not grant you a license to use any trademarks of ours or our affiliates. You further agree not to use, modify, or delete any copyright notices from materials downloaded from the Service.

The Service may contain links to third-party websites or services that are not owned or controlled by WellyPal.

We assume no legal responsibility for the content, privacy policies, or operational methods of any third-party services.

WellyPal may utilize artificial intelligence tools such as Google Gemini as third-party integrated services. These services operate independently, and their operation and content are the sole responsibility of the service provider.

We have the right to terminate or suspend your access to the Service at any time without prior notice, for reasons including but not limited to violations of these Terms.

Provisions of these Terms that by their nature should survive termination, including ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability, shall remain in effect. Upon account cancellation or termination, your right to use the Service will immediately cease. We may still retain some relevant data based on legal obligations, compliance requirements, or reasonable business needs.

You agree to indemnify, provide legal defense for, and hold harmless WellyPal and its affiliates, officers, directors, representatives, employees, contractors, licensors, licensees, suppliers, and agents from and against any and all claims, liabilities, damages, obligations, losses, costs, expenses, litigation, or demands arising out of or related to your use of the Service, violation of these Terms, posting of content, or activities conducted through your account.

To the maximum extent permitted by law, WellyPal shall not be liable for any indirect loss, incidental damage, special compensation, consequential loss, or punitive damages arising from your access to, use of, or inability to use the Service. This specifically includes but is not limited to loss of profits, data loss, electronic media or data damage, loss of goodwill, and other intangible losses; losses caused by third-party conduct or content within the Service; losses related to content obtained through the Service; and losses resulting from unauthorized access, use, or tampering with your transmitted content.

The Service is provided on an "as-is" and "as-available" basis without any express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and course of performance.

WellyPal and its subsidiaries, affiliates, and licensors do not guarantee: that the Service will remain uninterrupted, secure, or continuously available at any specific time or location; that any errors or defects will be corrected; that the Service is free of viruses or other harmful components; nor do they guarantee that the results of using the Service will meet your needs.

WellyPal is not a medical service provider, medical institution, or medical device. This Service does not provide medical diagnosis, treatment, prescriptions, nursing advice, or any other professional medical services.

This Service is not a substitute for a physician, hospital, or other licensed medical professional, and must not be used to delay, replace, or circumvent necessary medical consultation, examination, diagnosis, or treatment. This Service is also not applicable to any medical emergencies. If you believe you are in a medical emergency, please seek medical help immediately, go to a medical institution, or call your local emergency number.

You bear sole responsibility for the decision to rely on AI-generated content and are responsible for any decisions, actions, or consequences based on such content. Using this Service without professional medical advice may involve health risks.

We shall not be liable for breach of contract due to service interruptions, delays, unavailability, or data abnormalities caused by network anomalies, system failures, hacker attacks, third-party platform or service interruptions, regulatory policy changes, natural disasters, force majeure events, or other reasons not attributable to us, except as otherwise mandatory by law.

Our failure to immediately exercise or enforce any right or provision under these Terms shall not be deemed a waiver of such right or provision. You may not assign, sub-license, or otherwise transfer any of your rights or obligations under these Terms without our prior written consent.

We are committed to resolving disputes in a friendly and efficient manner. You agree that before initiating any formal legal proceedings against us, you shall first attempt to resolve the dispute through informal negotiation. You may contact us at support@wellypal.com with a brief description of the dispute and your contact information. We will endeavor to resolve the dispute through negotiation with you within a reasonable period.

If the dispute cannot be resolved through negotiation within a reasonable period, either party has the right to file a lawsuit in a court of competent jurisdiction to resolve such dispute, except as otherwise mandatory by law.

If you download the application through the Apple App Store, you must comply with the following terms: these Terms apply only to the relationship between you and WellyPal and have nothing to do with Apple Inc. However, Apple Inc. and its subsidiaries, as third-party beneficiaries of these Terms, have the right to take legal action against you accordingly.

According to legal regulations, Apple Inc. assumes no warranty responsibility for the application. If the application does not comply with relevant warranty terms, users may file a complaint with Apple Inc., and Apple Inc. will refund the purchase fee (if any) paid by the user. Apple Inc. assumes no other warranty obligations for the application.

Apple Inc. is under no obligation to provide maintenance or technical support services for the application. According to the agreement between Apple Inc. and WellyPal, WellyPal alone must bear all liability for claims related to the application, including but not limited to: product liability claims, claims that the application fails to meet legal and regulatory requirements, and claims arising under consumer protection laws or similar legislation.

If any third party claims that the application or your possession and use of the application infringes its intellectual property rights, Apple Inc. shall not be responsible for the investigation, defense, settlement, or handling of such claims.

We welcome your feedback on our services. Unless otherwise explicitly stated, any information you send to us will be considered non-confidential. You agree that we may, at our sole discretion, decide whether to make such content public. You agree to authorize us to use such content free of charge, and we may modify, adjust, change, or make any other changes we deem appropriate.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be interpreted and enforced in a manner that most closely reflects its original intent to the maximum extent permitted by law, without affecting the validity, legality, and enforceability of the remaining provisions. These Terms, together with our Privacy Policy and other relevant policies or supplementary terms you agree to while using the Service, constitute the complete agreement between you and WellyPal regarding the Service and supersede any prior oral or written statements, communications, understandings, or agreements between the parties regarding the Service.
